Agreement
These Terms of Service ("Terms") govern your access to and use of Compliance Scanner (the "Service") operated by MP Media Design ("we," "us," or "our"), available at scanner.mpmediadesign.com. By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Our Privacy Policy explains how we handle personal information and is incorporated by reference.
What the Service is
The Service provides an automated wording pre-check for Canadian advisor marketing materials. You may submit a public URL or paste draft text. The Service returns risk flags tied to wording and may offer optional rewrite suggestions (rule-based and, when configured, AI-assisted).
Features may include free high-level scans and, when you create an account, saving scan history. Paid or deeper report features may be offered later; pricing and availability can change.
Important product disclaimer
Pre-check only. Not legal advice. The Service does not provide legal, regulatory, tax, investment, or compliance advice. It is not a substitute for your firm's compliance officer, legal counsel, or review under CIRO, CSA, provincial securities rules, or any other applicable regime. Findings are informational risk indicators only. You (and your firm) remain solely responsible for what you publish. AI may suggest rewrites; you approve what ships. No regulator has endorsed or certified the Service.
Accounts
You may use some features without an account. If you create an account, you must provide accurate information, keep your credentials confidential, and are responsible for activity under your account. We may suspend or terminate accounts that violate these Terms or present security or abuse risk.
Your content
You retain ownership of marketing copy and URLs you submit. You grant us a limited license to process, store (when you save), and transmit that content solely to provide the Service (including optional AI rewrite enhancement) as described in the Privacy Policy.
You represent that you have the right to submit the content, that it does not unlawfully infringe others' rights, and that you will not knowingly submit malware, credentials, or content you are not authorized to share.
Acceptable use
You agree not to:
- Use the Service for unlawful purposes
- Attempt to disrupt, overload, or reverse-engineer the Service beyond ordinary use
- Bypass access controls or probe systems without authorization
- Harvest other users' data
- Rely on the Service as a final compliance approval or claim that a clean (or flagged) result constitutes regulatory clearance
- Misrepresent the Service's output as legal or regulatory advice
Third-party services
The Service depends on third parties such as Supabase (auth and database), Vercel (hosting), and, when configured, AI gateway / LLM providers for rewrite polish. Outages or changes at those providers may affect availability.
No warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that results will be complete, accurate, uninterrupted, error-free, or sufficient for any regulatory purpose.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MP MEDIA DESIGN AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
Indemnity
You agree to defend and indemnify MP Media Design and its operators against claims, losses, and expenses (including reasonable legal fees) arising from your content, your use of the Service, or your breach of these Terms — including any claim that marketing you published after using the Service violated applicable law or firm policy.
Changes and termination
We may modify the Service or these Terms. Material changes will be reflected by updating the "Last updated" date. Continued use after changes means you accept the updated Terms. We may discontinue the Service or your access at any time.
Governing law
These Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict-of-law rules. Courts in British Columbia will have exclusive jurisdiction, subject to any mandatory consumer protections that apply to you.
